Terms of Service
Effective date: 15 October 2026
Last updated: 15 October 2026
These Terms of Service ("Terms") are a legal agreement between you and WorldShop, LLC, a limited liability company with its principal office at 9600 Blue Larkspur Ln, Ste 201, Monterey, California 93940, United States ("Shopo", "we", "us"). They govern your use of the Shopo web applications at buyer.shopocircles.com and client.shopocircles.com and the Shopo Go mobile app (together, the "Service").
By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. What the Service is — and is not
1.1. Shopo is a software tool that helps personal shoppers ("Buyers") organise their work with their customers ("Clients"). With it, Buyers and Clients can exchange product requests, track orders and items, record delivery costs and expenses, issue invoices, keep a record of Client balances, and publish offers.
1.2. Shopo is not a shop, seller, purchasing agent, carrier, customs broker, bank or payment service. We do not buy, sell, store, ship or import goods, and we do not receive, hold or transfer money.
1.3. Every purchase is a deal between the Buyer and the Client. The Buyer buys goods from third-party shops in their own name and under their own responsibility. The price, commission, payment, delivery, customs duties, returns, refunds and the quality and legality of the goods are agreed only between the Buyer and the Client. Shopo is not a party to those arrangements and is not responsible for them.
1.4. Buyers are independent of Shopo. They are not our employees, agents or representatives, and we do not vet, endorse or guarantee them.
2. Accounts
2.1. You must be at least 18 years old and able to enter into a binding contract.
2.2. Buyers register themselves. Clients join through an invitation from a Buyer. A Buyer may also create a record for a Client in their workspace, and the Client can then claim it by signing up. Each Client account is linked to one Buyer.
2.3. You must provide accurate information and keep it up to date. Keep your password confidential. You are responsible for all activity under your account. Tell us immediately at [email protected] if you suspect unauthorised use.
2.4. One person may not create accounts for others without their permission. Buyers may add Clients' data only as described in §4.
3. Balances, invoices and payments
3.1. A balance in Shopo is a bookkeeping record, not money. It reflects payments a Client reported, payments the Buyer confirmed, and the invoices the Buyer issued. It is not a deposit, stored value, electronic money or a claim against Shopo, and it earns no interest.
3.2. Clients pay Buyers outside the Service, using the payment details the Buyer provides. Shopo has no access to those funds and cannot reverse, refund or confirm any payment.
3.3. Prices shown in the Service, including converted amounts, commissions, delivery costs, exchange rates and offer prices, are set or calculated from data entered by the Buyer or taken from third-party shops. They may change or contain errors. The Buyer and the Client are responsible for agreeing the final amounts.
3.4. Any disagreement about a balance, invoice, payment, delivery or the goods must be resolved between the Buyer and the Client. Shopo may, at its discretion, provide records from the Service that are relevant to such a disagreement, where the law allows.
4. Buyer obligations
If you use the Service as a Buyer, you also agree that:
4.1. You run your shopping activity in your own name and at your own risk. You are solely responsible for complying with all laws that apply to it. This includes consumer protection, tax, customs, import/export and sanctions laws, any licensing or registration your activity requires, and your obligations to your Clients.
4.2. You will tell your Clients clearly that you, not Shopo, are their counterparty. You will show them your prices, commission and terms.
4.3. You have a lawful basis to enter, import or upload your Clients' personal data. This includes spreadsheet imports and Clients you create yourself. You will inform your Clients about it and process their data in line with applicable data protection law. You are responsible for the content of your private notes about Clients.
4.4. The bank and payment details you enter are correct and belong to you or to an entity you are authorised to act for.
4.5. Offers, texts and images you publish to your Clients are accurate and lawful, and you have the rights to use them.
5. Acceptable use
You must not use the Service to:
- buy, sell or arrange goods that are illegal in the country of purchase or destination. This includes weapons, ammunition, explosives, drugs and controlled substances, counterfeit or stolen goods, hazardous materials and goods subject to sanctions or export controls;
- deal with persons, entities or regions subject to U.S., EU, UK, Ukrainian or UN sanctions;
- commit fraud, launder money or evade taxes or customs duties;
- upload content that is unlawful, infringing, defamatory, obscene or harmful, or content you have no right to share, including other people's personal data without a lawful basis;
- harass, threaten or abuse other users;
- access other users' data without permission, probe or bypass security, scrape the Service or overload it, or reverse-engineer it except where the law allows;
- upload malware or interfere with the Service's operation;
- resell or sublicense the Service, or use it to build a competing product.
6. Your content
6.1. "Your Content" means everything you submit to the Service: product links, photos, notes, offers, imported files, avatars and similar material. You keep all rights to it.
6.2. You grant Shopo a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, display and transmit Your Content only as needed to operate, secure and improve the Service and to show it to the users you share it with. This includes automated processing by AI models to recognise product data. The licence ends when Your Content is deleted, except for copies kept as described in the Privacy Policy.
6.3. You are responsible for Your Content and confirm that you have the rights needed to share it. We may remove content or restrict accounts that, in our reasonable view, break these Terms or the law.
7. Third-party shops and services
7.1. The Service links to and, in Shopo Go, displays third-party online shops in a built-in browser. Those shops are not controlled by Shopo. Their own terms and privacy policies apply. We are not responsible for their content, products, prices, availability or practices.
7.2. Product information that the Service fills in automatically, such as name, price, size, colour and image, is extracted by automated tools and may be inaccurate. Always check it before submitting an order.
8. Fees
The Service is currently provided free of charge to Buyers and Clients. We may introduce fees for Buyers in the future. If we do, we will tell you in advance, and fees will apply only if you accept them. Shopo never charges Clients for purchases. Any commission or fee a Client pays goes to their Buyer.
9. Intellectual property
The Service, including its software, design and trademarks such as "Shopo", "Shopo Go" and "ShopoCircles", belongs to Shopo and its licensors. We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use the Service under these Terms. If you send us feedback, we may use it freely and without any obligation to you.
10. Termination and account deletion
10.1. You may stop using the Service at any time. Clients can delete their account in Shopo Go under «Мій профіль» → «Видалити акаунт». Buyers can request deletion at [email protected]. What happens to data on deletion is described in the Privacy Policy. In particular, de-identified order and financial records stay in the Buyer's workspace.
10.2. Deleting a Shopo account does not cancel obligations between a Buyer and a Client, such as unpaid invoices, outstanding balances or orders in progress.
10.3. We may suspend or terminate your access if you breach these Terms, if required by law, or if your use creates risk for other users or for us. Where reasonable, we will notify you in advance. If a Buyer's account is terminated, their Clients may lose access to that Buyer's workspace.
10.4. Sections 1.2–1.4, 3, 4, 6.3 and 11–15 survive termination.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ACCURACY. We do not guarantee that the Service will be uninterrupted or error-free, or that calculations, exchange rates, extracted product data or notifications will be accurate or delivered. We make no warranty about any Buyer, Client, shop or product.
12. Limitation of liability
12.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA OR GOODWILL. We are also not liable for any loss arising from purchases, payments, deliveries, customs, goods, or disputes between Buyers and Clients.
12.2. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (a) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AND (b) US $100.
12.3. Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud, gross negligence or wilful misconduct, or mandatory rights you have as a consumer under the laws of your country of residence.
13. Indemnity
Buyers agree to indemnify and hold Shopo harmless from claims, losses and expenses, including reasonable legal fees, that arise from their shopping activity, their dealings with Clients, their content, or their breach of these Terms or the law. Clients who are consumers have this obligation only to the extent the law allows.
14. Governing law and disputes
14.1. These Terms are governed by the laws of the State of Florida, USA, and applicable U.S. federal law, without regard to conflict-of-law rules. Subject to §14.2, disputes will be resolved exclusively in the state or federal courts located in the State of Florida.
14.2. If you are a consumer living outside the United States, for example in Ukraine or the EU, you also keep the protection of the mandatory laws of your country of residence. You may bring proceedings in the courts of that country where its law gives you that right.
14.3. Before starting any formal proceedings, please contact us at [email protected]. We will try to resolve the issue informally.
15. General
15.1. Changes. We may update these Terms. We will notify you of material changes by email or in the app in advance, unless a change is required by law or concerns new features. If you continue using the Service after that, you accept the updated Terms. If you do not agree, stop using the Service and delete your account.
15.2. Language. These Terms are provided in English and Ukrainian. Both versions are equally authoritative. If they are inconsistent, the interpretation more favourable to the consumer applies to the extent required by law.
15.3. Entire agreement and severability. These Terms and the Privacy Policy are the entire agreement between you and Shopo about the Service. If any provision is found unenforceable, the remaining provisions stay in effect.
15.4. Assignment. You may not transfer your rights under these Terms. We may transfer ours in connection with a merger, acquisition or sale of assets.
15.5. No waiver. If we do not enforce a provision, that does not waive our right to enforce it later.
16. Additional terms for the Shopo Go iOS app
If you downloaded Shopo Go from the Apple App Store:
- These Terms are between you and Shopo only, not Apple Inc. ("Apple"). Shopo, not Apple, is solely responsible for the app and its content.
- Your licence to use the app is limited to Apple-branded devices that you own or control, as permitted by the App Store Terms of Service.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
- Apple is not responsible for addressing any claims by you or any third party relating to the app, including product liability claims, claims that the app fails to conform to any legal or regulatory requirement, and claims arising under consumer protection, privacy or similar laws.
- Apple is not responsible for the investigation, defence, settlement or discharge of any third-party claim that the app infringes intellectual property rights.
- You confirm that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting", and that you are not on any U.S. Government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
